Terms of Service

These terms govern your use of BSystem's banking platform and services. Please read them carefully before opening an account or using our services.

1. Acceptance of Terms

By accessing or using BSystem's website, mobile applications, or any of our banking services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Cookie Policy, and any additional terms applicable to specific services you use.

If you do not agree to these Terms, you must not access or use our Services. By creating an account, you represent that you have read, understood, and agree to be bound by these Terms.

Important: These Terms constitute a legally binding agreement between you and BSystem Technologies Ltd. We recommend saving or printing a copy for your records.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)
  • Be a legal resident of the United States, United Kingdom, or Canada
  • Have the legal capacity to enter into a binding agreement
  • Not be a person barred from receiving financial services under applicable laws
  • Not be on any government sanctions or restricted parties list (OFAC, HMT, OSFI)
  • Provide accurate, current, and complete identity information as required for KYC verification

Business accounts require the entity to be duly organised and validly existing under applicable laws, with an authorised representative to operate the account.

3. Account Terms

3.1 Account Opening

You must complete our identity verification process (KYC) before your account is fully activated. We reserve the right to decline any application at our discretion, in accordance with our regulatory obligations.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials and security codes
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access or security breach
  • Enabling multi-factor authentication (MFA) when available

3.3 Account Accuracy

You agree to keep your account information accurate and up-to-date. Failure to provide current information may result in limited access to Services or account suspension.

4. Banking Services

Our Services include, but are not limited to:

Current & Savings Accounts

Deposit accounts with competitive interest rates, subject to applicable terms and FDIC/FSCS/CDIC deposit insurance limits.

Card Services

Virtual and physical debit/credit cards issued under Visa and Mastercard networks, governed by applicable card network rules.

Money Transfers

Domestic and international fund transfers via ACH, Faster Payments, wire transfer, and Interac e-Transfer, subject to processing times and limits.

Currency Exchange

Multi-currency accounts and foreign exchange services at competitive rates, subject to market conditions and applicable fees.

We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice, except where immediate action is required for security or regulatory reasons.

5. Fees & Charges

Our current fee schedule is available on our website and within the app. Key fee principles:

  • No monthly account maintenance fees for personal accounts
  • Transparent pricing with no hidden charges
  • Foreign exchange fees applied at the mid-market rate plus a disclosed margin
  • ATM fees may apply depending on your plan tier and withdrawal location
  • We will provide at least 30 days' notice before introducing new fees or changing existing ones

Third-party fees (e.g., correspondent bank charges for international wire transfers) are outside our control and may apply in addition to our disclosed fees.

6. Prohibited Activities

You agree not to use our Services for:

  • Any illegal activity, including money laundering, terrorist financing, or fraud
  • Transactions involving sanctioned countries, entities, or individuals
  • Purchasing or selling illegal goods or services
  • Circumventing transaction limits or account restrictions
  • Creating multiple accounts to evade KYC requirements
  • Interfering with the integrity or security of our systems
  • Reverse-engineering, decompiling, or disassembling our software
  • Using automated systems (bots, scrapers) to access our Services without permission

Violation of these restrictions may result in immediate account suspension, fund freezing, and reporting to relevant authorities.

7. Intellectual Property

All content, designs, logos, trademarks, software, and technology comprising our Services are owned by or licensed to BSystem Technologies Ltd. and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use our Services for personal or business banking purposes only. This licence does not include any right to copy, modify, distribute, or create derivative works of our content or technology.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • BSystem shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim arising from these Terms shall not exceed the fees you paid to us in the 12 months preceding the claim
  • We are not liable for losses resulting from unauthorised access to your account caused by your failure to maintain security credentials
  • We are not liable for delays or failures caused by force majeure events, including natural disasters, government actions, or system-wide outages beyond our control

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

9. Termination

By You: You may close your account at any time by contacting support or through the app settings. You must first withdraw or transfer all remaining funds. Account closure is subject to any outstanding obligations or pending transactions.

By Us: We may suspend or terminate your account immediately if:

  • You breach these Terms or any applicable law
  • We are required to do so by a regulator, law enforcement, or court order
  • We detect suspicious or fraudulent activity on your account
  • You fail to complete required identity verification within the specified timeframe

Upon termination, provisions that by their nature should survive (including liability limitations, intellectual property, and dispute resolution) will continue to apply.

10. Governing Law & Disputes

These Terms are governed by and construed in accordance with:

United States

The laws of the State of Delaware, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration under the AAA Commercial Arbitration Rules, unless you opt out within 30 days of account creation.

United Kingdom

The laws of England and Wales. You may refer complaints to the Financial Ombudsman Service (FOS) if we cannot resolve your dispute within 8 weeks.

Canada

The laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes may be referred to the Ombudsman for Banking Services and Investments (OBSI).
